Terms of Service

These Terms of Service govern your access to and use of Aigenix, including the Aigenix mobile application, website, Community, AI media-generation tools, credit system, and related services.

Aigenix is a product and service operated by its parent company, Syneks Sofware Inc., a federally incorporated Canadian corporation based in Ontario.

In these Terms, “Aigenix,” “Syneks Sofware Inc.,” “we,” “us,” and “our” refer to Syneks Sofware Inc. and the Aigenix services it operates. “You” refers to the person or organization using the Service.

Please read these Terms carefully. By creating an account, purchasing credits, submitting content, generating media, publishing a Community Story, or otherwise using Aigenix, you agree to these Terms and to our Privacy Policy.

If you do not agree, do not use the Service.

1. The Aigenix Service

Aigenix provides access to creative tools and third-party artificial-intelligence models that may allow you to:

Generate images, video, audio, text, or other media;
Edit or transform uploaded media;
Upload photos, video, audio, and other supported files;
Save and organize prompts, settings, generations, and media;
Purchase and use credits;
Publish selected generations as Community Stories;
Choose whether a published prompt is visible;
Remix compatible Community Stories; and
Download or share generated media.

Available models, controls, formats, prices, features, and output quality may vary. We may add, change, limit, suspend, or remove models or features when reasonably necessary for security, legal compliance, provider availability, cost, reliability, or product development.

2. Eligibility

You may use Aigenix only if:

You are at least 18 years old and have reached the age of legal majority where you live;
You are legally capable of entering into a binding agreement;
You are not prohibited from using the Service under applicable law, sanctions, or trade restrictions; and
Your use complies with these Terms and all applicable laws.

Aigenix is not intended for children or anyone under 18.

If you use Aigenix for a business or another organization, you represent that you have authority to bind that organization. In that case, “you” includes both you and the organization.

3. Your Account

Some or all Aigenix features require an account.

You agree to:

Provide accurate and current account information;
Maintain the security of your account and sign-in methods;
Use only accounts that belong to you or that you are authorized to use;
Promptly notify us if you suspect unauthorized access; and
Accept responsibility for activity conducted through your account unless caused by Aigenix’s breach of its obligations.

You may not sell, rent, transfer, or share an account in a way that compromises security or evades Service limits.

We may reject or require changes to usernames, profile information, or other account identifiers that are misleading, unlawful, infringing, impersonating, or abusive.

4. Inputs and Outputs

4.1 Definitions

“Input” means any prompt, text, instruction, parameter, photograph, image, video, audio, file, reference, personal information, or other material that you upload, submit, select, or otherwise provide to Aigenix.

“Output” means any image, video, audio, text, file, metadata, or other material generated or returned through the Service in response to an Input.

“User Content” collectively means your Inputs, Outputs, Community Stories, profile information, comments if supported, and other content you submit to or create through the Service.

4.2 Your Inputs

As between you and Aigenix, you retain your ownership rights in your Inputs.

You represent and warrant that:

You own your Inputs or have all permissions, licences, consents, and legal rights required to upload and process them;
Your Inputs do not violate intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;
You have valid consent from identifiable people whose image, voice, personal information, or likeness you submit when consent is required; and
Aigenix and its service providers may lawfully process your Inputs as described in these Terms and the Privacy Policy.

Do not upload confidential, regulated, highly sensitive, or personal information unless it is necessary for the requested generation and you are authorized to provide it.

4.3 Licence needed to operate Aigenix

You grant Aigenix and Syneks Sofware Inc. a worldwide, non-exclusive, royalty-free licence to host, copy, store, transmit, format, modify for technical purposes, process, and display your User Content only as reasonably necessary to:

Provide the features you request;
Send Inputs to selected AI and infrastructure providers;
Store and deliver Inputs and Outputs;
Operate Community and Remix features;
Prevent fraud and abuse;
Enforce these Terms;
Provide support;
Protect users and the Service; and
Comply with applicable law.

This licence does not transfer ownership of your User Content to Aigenix or Syneks Sofware Inc.

For private User Content, this licence ends when the content is deleted from our active systems, except where continued retention is reasonably necessary for backups, security, dispute resolution, legal compliance, or enforcement.

4.4 Rights in Outputs

As between you and Aigenix, and to the extent permitted by applicable law, you own any rights Aigenix or Syneks Sofware Inc. may have in an Output generated specifically for you. To the extent necessary, those rights are assigned to you.

This does not mean that:

Copyright or another intellectual-property right necessarily exists in an Output;
An Output is unique or original;
Similar or identical content will not be generated for another user;
An Output is free from third-party rights;
An Output is accurate, suitable, lawful, or safe for a particular use; or
A third-party model or incorporated material does not impose additional restrictions.

You are responsible for reviewing an Output before publishing, selling, licensing, distributing, or relying on it.

You may use Outputs for lawful personal or commercial purposes unless the selected model, incorporated third-party material, applicable law, or a notice shown in the Service imposes additional restrictions.

4.5 No model-training licence for private content

Aigenix does not claim a licence to use private Inputs or private Outputs to train Aigenix models.

Selected AI models and providers may have their own data-use terms. When a model has materially different retention or training practices, Aigenix will provide an appropriate disclosure and obtain consent where required before transmitting your content.

5. Community Stories and Remix

5.1 Publishing is optional

Generations are private unless you choose to publish them.

When publishing a Community Story, you may be able to choose:

Whether the generated media is public;
Whether the associated prompt is visible; and
Whether compatible Remix functionality is available.

A public Story may be accessible to people who are not signed in. Public content may be viewed, copied, recorded, linked, indexed, or reshared by others beyond Aigenix’s control.

Do not publish anything you want to remain private.

5.2 Licence for public Stories

While a Story is public, you grant Aigenix and Syneks Sofware Inc. a worldwide, non-exclusive, royalty-free, sublicensable licence to host, cache, reproduce, format, display, distribute, make available, and promote that Story as reasonably necessary to operate and present Aigenix and its Community features.

This licence includes the right to create thumbnails, previews, transcodes, responsive versions, and other technical adaptations. It does not permit Aigenix or Syneks Sofware Inc. to sell your Story as standalone stock media.

If you make a Story private or delete it, this public-content licence ends after a reasonable period needed to remove it from active systems and caches, except:

Copies already shared, downloaded, or captured by other people may remain;
Existing remixes may continue to exist;
Search engines or third-party services may retain cached copies;
Backup copies may remain temporarily; and
We may retain information when legally required.

5.3 Remix licence

When you publish a Story that supports Remix, you grant other Aigenix users a non-exclusive, royalty-free licence to access and use the Story’s designated media, visible prompt, and supported settings through Aigenix’s Remix functionality to create their own generations.

This Remix licence:

Applies only to content made available through the Remix flow;
Does not transfer ownership of your original Story;
Does not authorize users to impersonate you or claim your original Story as theirs;
Does not override third-party rights or model-specific restrictions; and
Continues for remixes lawfully created while the Story was available.

Remix may preserve only the inputs, settings, and outputs permitted by the Story’s model configuration. It may not recreate the original generation exactly.

5.4 Your responsibility for public content

You remain responsible for every Story you publish. You must have the rights required to make its media and visible prompt public and remixable.

6. Acceptable Use

You may not use Aigenix, an Input, an Output, Community, or Remix to create, upload, publish, request, facilitate, or distribute content or conduct that:

Violates any applicable law or court order;
Sexually exploits, sexualizes, grooms, endangers, or depicts the abuse of a minor;
Contains child sexual-abuse material or attempts to create, transform, conceal, or distribute such material;
Creates or distributes non-consensual intimate imagery, sexual deepfakes, or exploitative sexual content;
Uses another person’s face, voice, identity, private information, or likeness without the rights or consent required by law;
Impersonates another person or organization for fraud, harassment, manipulation, or deception;
Threatens, harasses, stalks, bullies, exploits, or promotes hatred or violence against a person or protected group;
Encourages suicide, self-harm, abuse, trafficking, terrorism, or serious criminal conduct;
Infringes or misappropriates copyright, trademark, patent, trade-secret, privacy, publicity, confidentiality, or other rights;
Contains malware, ransomware, spyware, credential theft, malicious code, phishing, spam, scams, or fraudulent instructions;
Falsely presents AI-generated content as authentic evidence, official communication, or human-created material in a way likely to cause harm;
Removes or alters provenance, authenticity, safety, or watermark information for a deceptive purpose;
Is used to make fully automated decisions about employment, housing, credit, insurance, education, healthcare, legal rights, or another high-impact area without lawful and meaningful human review;
Provides regulated legal, medical, financial, or other professional advice while falsely presenting the Output as advice from a qualified professional;
Attempts to bypass content filters, safeguards, rate limits, access controls, purchase systems, security protections, or model restrictions;
Reverse engineers, extracts, copies, or attempts to derive model weights, training data, source code, private APIs, or underlying systems;
Scrapes, harvests, or systematically downloads Community content or user information without authorization;
Uses Outputs or third-party model materials to train or develop a competing model where prohibited by the applicable provider’s terms;
Overloads, disrupts, damages, or interferes with the Service or another user; or
Otherwise creates a serious and foreseeable risk of harm to a person, the public, Aigenix, Syneks Sofware Inc., or a service provider.

You may not encourage, assist, or enable another person to do anything prohibited by these Terms.

7. Safety, Moderation, Reports, and Enforcement

Aigenix may use automated systems, model-provider safeguards, human review, user reports, and other proportionate measures to identify content or conduct that may violate these Terms.

Where supported, you can report a Community Story or block an abusive user through the controls provided in the Service. You may also report concerns through the Aigenix contact form.

We may, where reasonably necessary:

Reject an Input;
Block or remove an Output;
Prevent publication;
Make a Story private;
Remove or restrict Community content;
Disable Remix;
Limit model access;
Suspend or terminate an account;
Preserve relevant evidence;
Notify affected users;
Cooperate with service providers; or
Report conduct to law enforcement or another authority.

We are not obligated to pre-screen all private or public content. A decision not to remove content in one situation does not waive our right to act later.

We may consider context, severity, intent, previous violations, risks to others, and legal requirements when enforcing these Terms.

8. Credits, Purchases, Charges, and Refunds

8.1 Credits

Credits are virtual units that may be used to submit generations and access eligible features. Credits:

Have no cash value;
Are not currency or stored value;
Cannot be transferred, resold, or exchanged between users;
May be limited to the account that received or purchased them; and
May not be used outside Aigenix.

One credit may correspond to a stated reference value, but this does not make credits redeemable for money.

8.2 Cost estimates and final charges

Aigenix may show an estimated credit cost while you configure a generation. The estimate may change when you change the model, duration, resolution, output count, audio options, or other parameters.

The final cost is calculated when you submit the generation and is recorded with the generation.

Credits are normally charged when the generation job is created. A completed or usable Output is not required for the charge to occur. Provider failures, safety filters, invalid results, or interrupted processing may result in no Output while the charge remains recorded.

8.3 Purchased credits

Credits purchased through Apple In-App Purchase do not expire.

Promotional, complimentary, testing, trial, bonus, or goodwill credits may expire if the applicable expiration is clearly disclosed when they are issued.

We may change the number of credits required for future generations. A pricing change will not retroactively change the recorded cost of a generation already submitted.

8.4 Purchases

Purchases made through an app marketplace are also governed by that marketplace’s payment terms.

The marketplace and its payment partners process payment credentials. Aigenix and Syneks Sofware Inc. do not receive your complete payment-card number.

You are responsible for applicable taxes, marketplace charges, and fees disclosed at purchase.

8.5 Refunds

Charges are not automatically refunded merely because:

A provider returns an error;
A safety system blocks an Output;
No usable Output is produced;
You dislike an Output; or
An Output differs from your expectations.

You may contact support with the generation identifier, approximate time, model, and description of the problem. Aigenix may review the generation and issue a credit adjustment or refund when the circumstances qualify.

Refunds for purchases made through Apple or another marketplace may also need to be requested from and processed by that marketplace.

Nothing in this section limits a refund, cancellation, or consumer right that cannot lawfully be excluded.

8.6 Chargebacks and abuse

Fraudulent purchases, payment reversals, chargebacks, or abuse of promotional credits may result in the removal of improperly obtained credits, a negative balance, feature restrictions, or account suspension, subject to applicable law.

9. Third-Party Models and Services

Aigenix relies on third parties for functions such as:

Authentication;
Cloud databases;
Media storage;
AI generation;
Model hosting;
Analytics;
App-store payments;
Purchase fulfilment;
Email delivery; and
Infrastructure and security.

When you select and use a model, your Input and related generation parameters may be sent to Aigenix’s AI-processing provider and, where applicable, the underlying third-party model provider.

Some models may have additional terms, licences, geographical limits, acceptable-use requirements, or data practices. Those additional terms apply when they are presented in the Service or are otherwise legally binding.

Third-party services may become unavailable, change their models, alter technical requirements, reject requests, or return inaccurate, unsafe, or incomplete results. Aigenix and Syneks Sofware Inc. are not responsible for third-party conduct beyond the responsibility that applicable law places on us.

You must comply with applicable third-party terms, including app-marketplace and network-provider terms.

10. Emails and Communications

We may send you service-related communications, including:

Email verification messages;
Sign-in or account-security notices;
Purchase and credit notices;
Generation or service updates;
Changes to these Terms or the Privacy Policy;
Safety and moderation notices; and
Responses to support requests.

These transactional communications are part of operating your account.

We will send promotional email only where permitted by law and based on a valid form of consent. Promotional messages will identify Aigenix or Syneks Sofware Inc. and include an unsubscribe method. Unsubscribing from marketing does not stop essential account, security, purchase, or legal communications.

11. Aigenix Intellectual Property

Aigenix, Syneks Sofware Inc., and their licensors own the Service, including its software, interfaces, design, branding, documentation, databases, compilation, and technology, excluding your User Content.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service for lawful personal or internal business purposes.

You may not:

Copy, modify, distribute, sell, lease, sublicense, or commercially exploit the Service itself;
Use Aigenix or Syneks Sofware Inc. branding without permission;
Access the Service through unauthorized automated methods;
Create a competing service using protected Aigenix materials; or
Remove proprietary notices.

No rights are granted except those expressly stated.

12. Copyright and Rights Complaints

If you believe content on Aigenix infringes your copyright, trademark, privacy, publicity, or another legal right, submit a notice through the Aigenix contact form containing:

Your name and contact information;
Identification of the protected work or right;
Identification and location of the disputed content;
A clear explanation of the alleged violation;
A statement that your report is accurate and made in good faith; and
Evidence that you are the rights holder or authorized representative.

We may request additional information, remove or restrict disputed content, notify the user who posted it, and take action against repeat infringers.

Knowingly submitting a false or misleading complaint may expose you to legal liability.

13. Feedback

If you voluntarily provide product ideas, suggestions, or feedback, you grant Aigenix and Syneks Sofware Inc. a perpetual, worldwide, royalty-free right to use that feedback without restriction or compensation.

Do not submit feedback you consider confidential.

This section does not give Aigenix or Syneks Sofware Inc. ownership of your Inputs, Outputs, or Community Stories.

14. Service Availability and Changes

AI generation can be unpredictable. Model capacity, queues, infrastructure, provider outages, maintenance, safety systems, internet connections, and device conditions may affect availability and performance.

We do not guarantee that:

Every model will remain available;
Every request will complete;
Processing will meet a specific timeframe;
Outputs will match a prompt;
Stored media will be available forever;
A particular format or parameter will remain supported; or
The Service will always be uninterrupted or error-free.

We may establish reasonable limits on file size, storage, generations, requests, model use, or Community participation.

Where reasonably possible, we will provide notice of a material discontinuation that significantly affects paid functionality.

15. Suspension, Termination, and Account Deletion

You may stop using Aigenix at any time.

You may initiate account deletion through the account settings in the app. You may also use the Aigenix contact form and choose Account deletion as the inquiry type.

Before deleting your account, download any content you wish to keep and review your remaining credit balance. Account deletion is permanent and may make generations, media, Stories, folders, purchase history displayed in the app, and unused digital items inaccessible.

We may suspend, limit, or terminate your access if:

You materially or repeatedly violate these Terms;
Your conduct creates a security, legal, fraud, or safety risk;
Required by law or a service provider;
Payment activity is fraudulent;
The Service is discontinued; or
Continued access could harm another person, Aigenix, Syneks Sofware Inc., or our providers.

When appropriate, we may provide notice and an opportunity to appeal. Immediate action may be taken for severe, urgent, unlawful, or dangerous conduct.

Termination does not affect provisions that by their nature should survive, including ownership, public-content licences already relied upon, payment obligations, disclaimers, liability limitations, indemnity, and dispute provisions.

16. AI and Service Disclaimers

To the maximum extent permitted by law, Aigenix and all Outputs are provided “as is” and “as available.”

Aigenix and Syneks Sofware Inc. do not warrant that:

Outputs are accurate, complete, reliable, original, or non-infringing;
Outputs qualify for copyright or another legal protection;
Outputs are appropriate for publication or commercial use;
A model will comply perfectly with your prompt;
Safety systems will detect every violation;
The Service will be secure, uninterrupted, or error-free; or
Defects or lost content will always be corrected or recovered.

Outputs do not represent the views of Aigenix or Syneks Sofware Inc.

Aigenix is a creative-media service, not a source of legal, medical, financial, mental-health, engineering, safety-critical, or other professional advice. Do not rely on an Output as a substitute for a qualified professional.

You are responsible for reviewing, verifying, editing, labelling, and lawfully using every Output.

Nothing in these Terms excludes a warranty or legal protection that cannot lawfully be excluded.

17. Limitation of Liability

To the maximum extent permitted by law, Aigenix, Syneks Sofware Inc., and their owners, affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, data, content, or opportunities arising from or related to the Service.

To the maximum extent permitted by law, the total aggregate liability of Aigenix and Syneks Sofware Inc. arising from or relating to the Service or these Terms will not exceed the greater of:

The amount you paid directly to Aigenix or Syneks Sofware Inc. for the Service during the 12 months before the event giving rise to the claim;

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.

They do not apply to liability that cannot lawfully be excluded or limited, including any non-waivable consumer rights.

18. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Aigenix, Syneks Sofware Inc., and their owners, affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, damages, losses, liabilities, costs, and reasonable legal fees arising from:

Your Inputs, Outputs, or public Stories;
Your use or distribution of an Output;
Your violation of these Terms;
Your violation of another person’s rights;
Your unlawful or fraudulent conduct; or
Activity by an organization you represent.

We will provide reasonable notice of a covered claim and may control its defence and settlement. You may not settle a claim in a way that admits fault or imposes obligations on Aigenix or Syneks Sofware Inc. without written consent.

This section applies to consumers only to the extent permitted by applicable consumer law.

19. Governing Law and Disputes

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules.

Subject to any mandatory consumer forum rights, disputes will be brought before the courts located in Toronto, Ontario.

Before starting formal proceedings, you and Syneks Sofware Inc. agree to make a reasonable attempt to resolve the dispute by contacting the other party and describing the issue and requested resolution.

Nothing in these Terms prevents either party from seeking urgent injunctive relief or using an eligible small-claims process.

If you are a consumer, these Terms do not deprive you of mandatory rights or remedies under the laws of your province, state, territory, or country.

20. Apple App Store Terms

If you obtain the Aigenix application through Apple’s App Store:

The application is licensed, not sold;
Your licence to the application is subject to Apple’s Standard End User Licence Agreement unless a different licence is expressly presented through the App Store;
These Terms separately govern your Aigenix account, content, credits, Community activity, and use of the Service;
Apple is not a party to these Terms and is not responsible for operating or supporting the Aigenix Service;
Syneks Sofware Inc., not Apple, is responsible for claims relating to the Service, subject to applicable law;
Apple and its subsidiaries are intended third-party beneficiaries of the provisions applicable to the iOS application and may enforce those provisions; and
You must comply with applicable App Store, device, network, and third-party terms.

If these Terms conflict with Apple’s mandatory usage rules concerning the licence to the application, those mandatory rules control.

21. Changes to These Terms

We may update these Terms to reflect changes to the Service, providers, law, safety practices, or business operations.

We will update the “Last updated” date and provide additional notice when required by law or when a change materially affects your rights.

Changes apply prospectively from their stated effective date. Your continued use after the effective date constitutes acceptance where permitted by law.

If you do not agree to an updated version, stop using the Service and delete your account before the updated Terms take effect.

22. General Provisions

If a provision is unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver.

You may not assign these Terms without written consent. Syneks Sofware Inc. may assign them in connection with a merger, financing, reorganization, sale of assets, or transfer of the Service, subject to applicable law.

These Terms, the Privacy Policy, model-specific terms presented in the Service, and applicable purchase terms form the agreement between you and Syneks Sofware Inc. concerning Aigenix and the Service.
